Will my data stay secure?

DealStation is designed to provide a secure environment for companies to store their data as well as secure robust ways to share their data with their invited investors.

This is done with four different mechanisms:

  1. Secure Data Transfer
  2. Secure Data Storage
  3. Fine-grained Role-based Access Control
  4. Detailed Audit Logging
  1. Secure Data Transfers to and from DealStation
    All data transfers between the DealStation platform and the end user is encrypted using SSL (Secure Sockets Layer), a standard security technology for establishing an encrypted link between a server and a client. SSL uses a combination of asymmetric and symmetric keys and how they work together to create an SSL-encrypted connection, making the connection virtually impossible to crack.
  2. Secure Data Storage for Data at Rest
    Data in the DealStation system is always stored encrypted using one of the strongest block ciphers available, the 256-bit Advanced Encryption Standard (AES-256). This ensures that only authorized users are allowed access to the data.
  3. Fine-grained Role-based Access Control
    DealStation is built from the ground up with fine-grained role-based access control. This means that individual information items in the memorandum can be access controlled in ways so that different roles can or cannot access specific information items. This gives the company administrator full control over what to share with whom in a controlled, secure and scalable manner.
  4. Audit Logging
    DealStation logs all information access requests, whether it is to create, read, update, or delete information items. DealStation logs what was accessed, when it was accessed, how it was accessed and by whom it was accessed. This audit logging functionality powerfully enables company administrators to track and trace who accessed what information when and how.

How do I get started with DealStation?

Is DealStation a crowdfunding software?

No, DealStation is not a crowdfunding software, but it allows companies to syndicate multiple investments easily, in a digital way, for multiple investments. All while allowing investors to invest digitally under the same terms. 


What languages do you offer?

Currently, we offer our software offered mainly in the English language only. 

The investment Memorandum can be also presented in Swedish, offering a Swedish guide visible for each section.

Why English?

Because it is the most internationally recognized language and even Swedish and other companies have non-local international investors and majority prepare the investment materials in English anyways.

In the future we of course plan to translate DealStation into other languages.


Do you offer any set up support or training?

Even though we try to make our software as intuitive and user-friendly as possible, we still have your back by providing you with a vast amount of guides and video tutorials in our Help Center, tackling the key set-up and feature-related questions.

Does DealStation help companies find investors?

DealStation is a technology company, not a private equity firm.

Still, we have built in features that allow our Epic subscribers to become visible and pitch to the external investors using DealStation for their deal flow screening and investing.

DealStation makes it easy for you to leverage your own network, allowing you to invite numerous investors to your Company and your investment opportunity at the same time. Primarily, it’s up to you who you invite and share your company information with. Additionally, DealStation also includes functionality that allows others in your network to invite investors, anonymously or openly. If that is not sufficient, you can plug in and connect with a third party (a partner with a well established investor network) to invite investors your way.

To maximize your exposure, you can also activate a Public link or QR code.

The Company's Public Link can be used to share your investment opportunity with a wider audience through for example posts on your social media channels such as Facebook or LinkedIn. The QR “pitch” code can be used during your on-stage pitch to Investors or on various marketing materials. Anyone who clicks on the link or scans the QR code will get a preview of your investment opportunity. They will be able to view your Company page including your Profile and the Investor Highlights sections. The Memorandum, News and FileVault will remain locked, until the full access is requested by those individuals interested in your investment proposal. Once you approve such full access to interested individuals, you will be able to see their identity, track their activity and see the matching score (once they complete their Investor profiles). 

Can I use DealStation to raise a proportion of funds only?

Yes, you can use DealStation to raise just a proportion of the total amount of funds you are raising. 

In case you are currently in the middle of raising growth capital or in case you for example already secured some investors, you can simply launch a funding round with DealStation for the remainder of the total amount.

You can fill in all the relevant details in the Funding target section when launching a funding round and then clarify it is only a proportion of the total amount (possibly mentioning who invested and how much funding was already secured) in the Investment Memorandum, in “The New Issue” section.

Payment & Billing

How do I pay for the subscription?

All our subscriptions are payable monthly by a credit card.

Renewals happen automatically, and you can always cancel your subscription at any time before it auto-renews. 

How do I get my invoices?

Your invoices are always sent to your email address once you purchase your DealStation subscription.

Can I change or cancel my subscription?

You can cancel your subscription at any time.

When canceling your subscription, your cancellation will become effective at the end of your current subscription period. 

Please note we do not refund nor return any subscription fees if you decide to cancel your subscription half way through. 

Fundraising process

Where do the investors come from?

You, the Company, stays in full control of who sees your investment proposal in DealStation. 

Many use it as a ‘closed platform’, meaning you invite only your own network of investors to your investment opportunity in DealStation, and keep your proposal private. Usually Companies invite investors they invited to previous funding rounds, existing shareholders or company employees for example.

Also, whoever accepts your invitation can invite others (e.g. other investors), but still you need to review and approve such forwarded invitations in your Contacts dashboard.

If you do not have a network of investors to invite just yet, we offer you to plug in any ‘Partners’, being 3rd parties of any kind (e.g. Investment broker, Family Office, Free Agent, Bank) who you allow to send investors your way. They can do so by inviting investors to your Company Page openly or anonymously, protecting the identity of their investors. 

Lastly, our Epic customers can benefit from matching with external investors using DealStation. This would add your company to the list of all new investment opportunities, which we send out weekly, and your company proposal would also be visible in the dashboard of investors whose investment preferences you match. Similarly, you will see matching investors you can pitch to in your dashboard. Still, it will be just the preview of your company page that is visible and it's again up to you, the Company, who you confirm full access to.

How many funding rounds can I issue?

You can have one (1) scheduled / open funding round at a time in DealStation.

How many funding rounds you should have in total or how often should you raise money? This is up to you. We believe you know the best when is the right time for the next funding round to achieve the desired growth for your business. Just be careful, too many rounds might signal poor company planning and might be seen as unprofessional by the investors, and in addition, could annoy current shareholders.

Is there a limit to the total amount to fundraise?

You, the company, is in charge of identifying the reasonable size of the minimum and maximum total amount to fundraise, based on your business needs and current stage. 

You then indicate to the investors, what will be achieved if the minimum or maximum amount is reached to provide full transparency on how the funds will be used and what value will be created. 

Further, it's your responsibility to check the maximum amount to fundraise with your local jurisdiction, assuring you stay compliant with your local rules and regulations. 

What financial instruments can I offer to the Investors?

With DealStation you can currently choose to offer: Shares, Convertibles or a Custom instrument (which can be used for token, crypto, M&A, Trade sale or other deals).

Shares and Convertible loans are still the most commonly used, but we have had cases where Companies raising their round, offering Shares, ended up getting an irresistible merge or acquisition deal.

How does the fundraising process work?

First, you create a powerful pitch in DealStation - you complete your profile, complete as many sections of your memorandum, and add relevant files to your FileVault.

Next, you create a funding round -  you define the round basics (amount raising, min ticket size, if you are offering shares or other instrument, your valuation) and then you upload any relevant legal documents, such as the Subscription Agreement and the Shareholders Agreement and clarify the Investor instructions (information investors get after you allocate e.g. shares to them). 

Once you open your round - all invited investors have a chance to subscribe, digitally. They can choose to invest as individuals or as an investment team easily to syndicate their investment. You can then monitor the fundraising progress easily in your dashboard.

When you have reached the desired amount or fundraising end date, you are ready to proceed to the final allocation. You simply review all investors who subscribed and select those you wish to allocate e.g. shares to and define how many (of course sticking to their defined minimum and desired amount). 

Finally, you complete the allocation, close and end your round and can download the csv summary of your round used to update your share register. 

How can I use DealStation for trade sale, M&A or selling the company?

DealStation can be used both to raise growth capital but also to do an exit/ sell the company, trade sales and for M&A deal discussions.

To use DealStation for an exit, trade sale or an M&A deal discussion, you can go to “Fundraising” in the left navigation bar of your Dashboard, and when creating a “Funding round” you simply name the funding round adequately under “Round Name” as e.g. Trade Sale and then choose “Custom” under “Issue Instrument” under the “Funding target” section.

With DealStation it is super easy to interact with your invited Investors as they can:

  • Send you a Message - to ask any question or arrange a meeting
  • Give you Feedback - to tell you what do they think
  • Invite others - who they think will be interested in your Company
  • Invest - subscribing to your e.g. shares, digitally using digital signatures

Access Management

With DealStation you have all the flexibility in regards to “who sees who”.

Our granular access rights allow you to:

  • invite as many admins to help you co-create your content in DealStation
  • create as many Roles as you wish (and name them as you wish)
  • define which Memorandum sections or documents in FileVault will be visible to whom
  • see who signed you NDA (if you request an NDA-signing in order to unlock specific Memorandum sections or documents)

Investor Invitation, monitoring and matching

In DealStation you can manage an unlimited number of contacts.

First you invite your shareholders, investors, employees, legal experts etc. - via DealStation, by Personal Link or by Public link or QR Code. Some might come via your plugged in partners. 

Then you can easily see who viewed your invite, who accepted, who declined and why. When they were last seen, how much time they spent reviewing your proposal in DealStation etc.

Lastly, you can also add labels or notes to each contact to classify your contacts into various funnels.

The Valuation tool

With DealStation Epic you can also benefit from our own Valuation Tool.

With DealStation Valuation you can estimate what your Company is worth in the eyes of Investors in just 5 mins. You can learn how to think like an investor by getting a multidimensional view and also easily simulate various valuation scenarios to discuss in your investor meetings.

Our Valuation Tool is based on the Venture Capital Method being the dominant valuation method for establishing the pre-money valuation for early stage, private and start-up companies. Despite the name it is known as a valuation approach by investors all over the world, not only VCs. It is quick to implement and suitable for every development stage. 

The Venture Capital Method (VC Method) was first described by Professor Bill Sahlman at Harvard Business School in 1987 in a case study and has been revised since.

With our Valuation Tool you get access to an unlimited number of simulations. Later you can do an in-depth sensitivity analysis to estimate how your valuation changes if your assumptions change, generating various valuation graphs which you can also copy paste into your investment materials.

The Investor highlights

The Highlights section at the very top of your Company Page gives you the opportunity to highlight and prioritize up to 5 key content elements your investors should not miss. This is the place for your killer pitch deck, latest award or press release or a demo video of your product or a video introducing your team. 

You have all the flexibility to even link a specific Memorandum section, add the latest News post from your News room,m or to add a document from your FileVault in there.

Company Profile

The Company profile gives your invited investors the chance to get familiar with your Company, read more about your business, and access the Overview section, giving them a crisp summary of the key pieces of information each investor desires to know: Your industry, stage, business model, location, scope of operations and funding to date etc. 

The Memorandum

The Memorandum is where your invited investors get all the relevant details to conduct a thorough due diligence. They can read  more about your share issue, business model, financials, your current cap table, key legal information, IPs and trademarks and much more. 

The Memorandum is well-structured and easy to orientate in, allowing each investor to head to the section they want to review with priority (e.g. key financial ratios, the team or the future outlook). 

Again, you have all the flexibility - you can complete or exclude sections or simply leave them incomplete. Also you can edit the access rights and permission to each section - making it visible to a specific Roles only.

The FileVault

The FileVault is your own data room for all complementary relevant documents.

Here, you can share all confidential and non-confidential documents, supporting the due diligence process done by every investor considering subscribing to shares in your Company. 

You can add files to predefined categories or create your own. For each category you can define the access rights specifying if all or only selected Roles will have access. 

Lastly, you can also add any file from the FileVault to your Highlights at the top of your Company Page. 

Partner plug-in

With DealStation you can invite and connect with any intermediary, such as: a free agent sourcing investors to you or your investment bank, and allow them to send investors your way. 

Once you and the Partner connect, and agree to the terms of the compensation outside of DealStation, the Partner can invite prospective investors to your Company page. The Partner can then decide if she wishes to invite the investors anonymously or not. In that case, the identity of the investors invited by Partners are protected and kept confidential. Only once the invited investor decides to review your full company page, can she deanonymize herself and make her profile and full credentials visible to you.

The value of the Partner plugin is to expand your investor outreach and to easily collaborate with your “enablers”, getting transparency in how many investors did they invite, and how many converted and invested. 

The News

The News allows you to educate, entertain and engage all your investors and others invited to your Company Page, continuously. 

Any news item you post automatically notifies all your investors by email.

Also, you can plug in your social media profiles - Facebook and Twitter to automatically display your latest posts there.

Do I need to be a qualified, professional or accredited investor to participate?

This depends on your local jurisdiction. DealStation, a Deal Flow and Portfolio Management software, can’t provide guidance on all country-specific regulations. It is your responsibility, as highlighted in our Terms & Conditions, to check the laws and regulations applicable in your country to investing and what is the exact meaning of “qualified, professional or accredited investor” in order to assure your investment is compliant with your local jurisdiction.

Do investors have to pay for DealStation?

Our basic Investor account is fully FREE for our investor community. 

You can simply sign up and invite companies to submit their investment proposals and company details through DealStation to you. 

Also, we offer our Valuation tool to Investors too (for a fee) - check it out here: www.dealstation.io/pricing.

Then, we also offer you to sponsor any company to DealStation - this means you can for example purchase 10 Epic licenses for your portfolio companies, and assign them to the companies in your portfolio. If you are an Angel Club or a VC you might be interested in a larger amount of licenses to manage your deal flow more effectively and help raise funds for selected deals.

Is my DealStation profile publicly visible?

Your information is kept fully confidential and becomes only partially visible to the companies whose invite you have accepted or invested in. Here is how it works:

You sign up and fill in your investment preferences - which are always kept confidential. This information is used to calculate a matching score with the companies you are invited to or are considering investing in.

Then, you can choose to keep your profile private or to show part of it - just your Bio (with some basic information) and the matching score (calculated for each deal and also made visible to you) to all companies looking for external investors via DealStation or only to those companies which match your investment preferences.

If you wish to become visible to external deal flow, you can benefit from the following:

  • Get weekly (on Sundays) summary of all new deals (matching your preferences)
  • See relevant deals (or deals matching your preferences) in your Dashboard
  • Have your investor Bio shown in the dashboards of Companies (or those deals matching your preferences) allowing them to invite you to their proposal in DealStation

The DealStation admin team adheres to a strict Data Privacy Policy ensuring your data is kept secure and confidential. 

The investment process

Do I need to sign an NDA to view the complete investment proposal?

It is up to the Company to decide if they require an NDA (Non-Disclosure Agreement) to be signed by the invited Investors before they can view specific Memorandum sections or specific files in the FileVault.  

In case Yes, you will be asked to sign an NDA, digitally in DealStation or outside of DealStation by the Company.

How does the investment process work for Investors?

After you sign up you complete your “Investor Profile” to define your investment preferences used to calculate a matching score, indicating relevance of deals to you.

Then, you can review deals in one structured and professional way - benefiting from an in-built investor Highlights, investment Memorandum or a data room including all documents for thorough due diligence.

You can engage with companies easily - arranging a meeting via Messages, giving them feedback, inviting other investors to the deal for co-investment etc.

When you select a deal you are interested in, you can invest digitally - benefiting from digital subscriptions, reviewing all legal documents in one place and indicating your desired amount of e.g. shares and the minimal acceptable amount.

When the company completes the final allocation - you will be notified, get all set of instructions on what happens next and…you keep updated about the progress made via the News room.

How can an Investor get started with DealStation?

There are three common ways one can get started with DealStation:

#1 You sign up with DealStation - Register your DealStation profile and invite a Company to submit their investment proposal to you via DealStation. 

#2 Get invited by a Company – Await an email invitation or a Link from a company using DealStation, create your own investor profile and directly access the company page you have been invited to.

#2 Get Invited by a Partner – Await your trusted partner (e.g. your bank) to share a pre-screened investment opportunity with you via DealStation. First review the deal in an anonymous mode and only then you decide if you would like to access the full details and deanonymize your profile, save for later or reject the company.

Who is conducting the quality control of the companies?

DealStation is not involved in company screening, quality control or due diligence of any of the companies nor investment opportunities presented to you. 

DealStation is purely a software provider, not offering any investment advice to any of the investors on which company to invest in. It is up to each of the individual investors to assess the quality of each company, conduct a thorough due diligence and evaluate the risks associated with such investment. 

We do however navigate you on how to conduct a thorough due diligence and take immediate action in case any fraudulent activity is reported.

What is the risk associated with Private Equity investments?

As you might be aware, investing in unlisted companies is indeed thrilling but there is a fair level of risk associated with such investments. 

At DealStation, we believe our software will make your decision making and investment selection much easier, allowing you to eliminate companies with a dysfunctional business model, pointing out red-flags to you and highlighting those with highest potential for ROI.

Is there a minimum or maximum investment / ticket size?

This is up to the Company.

The Company can define the minimum ticket size they will accept when setting up their funding round. 

You, as the investor can then select the desired amount and the minimum-accepted investment amount, adhering to the minimum ticket size specified by the Company.

The Company is then in control of reviewing all subscriptions and deciding on the final amount of units to allocate to you (being within the range you have provided). 

How long is a funding round open?

The Company determines the opening and closing date of each funding round, being communicated once a funding round is launched. In case the funding round is over-subscribed before the end-date, the Company can end the funding round sooner and move towards share allocation. In case the funding round is not fully funded at the predefined closing date, the Company can choose to extend the closing date to a later date.

Can investors see who the other investors are?

The profiles of the others who invested in the round are hidden and kept confidential.  

If agreed with the Investors, the Company can communicate the names in the Memorandum or News - to leverage such great news and credible names to complete the fundraise. 

Depending on the jurisdiction of your specific country, where transparency of ownership is required in order to be compliant with the local law, the Company might need to update the publicly accessible share ledger. 

When I subscribe to an investment, is that legally binding or can I still change my mind?

Normally, once a funding round is open and you select the number of shares you are interested in, your subscription to the selected amount of shares is legally binding. 

Still, we recommend you check the defined terms of the specific Company Share Subscription - defined by each Company, reviewing their specific terms.

With DealStation, you can easily increase the investment amount if you decide you wish to invest more. If you wish to cancel the subscription or lower the amount, you need to get in touch with the Company (e.g. send them a Message) and send them such a request.

What happens if the minimum amount to be raised is not reached?

We recommend you always check the minimum total amount to be raised and the exact terms of the subscription before you subscribe. 

Normally, in case the minimum total amount indicated by the company is not reached, your subscription is not legally binding and the company can still decide to extend the funding round’s closing date or cancel the round completely (potentially reopening it later on). 

In some cases, if the investors who subscribed already still wish to proceed with their investment, despite a lower round size being raised, the investments are accepted and processed.

What happens if the round gets oversubscribed?

Normally, to end up oversubscribed is good news and companies do not reject extra funds.

Still, it is up to the Company to decide - do they wish to offer extra e.g. shares or do they wish to allocate the number of issued units to stick to the round size.

How can I pay for the shares?

After the Company completed the final allocation of  e.g. shares, it is time to pay.

Payments are handled outside of DealStation.

You will receive all payment details after the successful allocation and usually proceed with a bank transfer to complete your investment.

Does my payment go to DealStation or to the company directly?

Your payment goes directly to the Company you have decided to invest in. 

DealStation does not handle nor hold any investor payments.

Who can be classified as a “Partner” ?

A Partner is anybody, an individual or an organization, managing both the Company (fund-seeker) and the Investor side. This can be a:

  • Free Agent: DealStation helps individuals sourcing investors to well-suited deals and investment opportunities or vice-versa to run the process in an automated fashion.
  • Financial institution: DealStation supports larger financial institutions as Banks, Asset management or financial Brokers in tapping into the SME-sized private placements deals with speed and ease.
  • Accelerator / Incubator: DealStation supports start-up and scale-up accelerator and incubator organizations in the need of filtering through, selecting and matching preferred companies with their sponsors and partners.
  • Family Office: DealStation supports Family offices in need of choosing the right kind of private equity investments for their HNWI clients and presenting them with such opportunities in a professional and standardized format.
  • Service Providers: DealStation helps 3rd party service providers as legal expert firms or accounting businesses to expand their offering to their clients in need of funding.

How do Partners invite investors?

It is easy for Partners to invite investors. Once a Partner accepts the invite from a company and has created a Partner account, they will be ready to view the Company page. On the Company page all information will be available, allowing Partners to start inviting investors to that Company.

A Partner can simply click the “Invite investors”, fill in their name and email address, select if they want to invite them anonymously and press “Send”.

Each Partner is then able to monitor their invites.

What does “anonymization of investors” really mean?

Anonymization of investors means that Standard and Premium Partners are allowed to invite investors anonymously in order to keep their personal data confidential.

Each investor invited anonymously then is displayed to the Company under a Partner-specific code rather than under his/her own name (as done for usual investor invites). Moreover, such anonymously invited investor has:

  • Restricted option to Invest and subscribe to shares in a Company invited to
  • Restricted access to the complete FileVault
  • Restricted access to the memorandum sections requiring NDA signing
What are the costs for Partners?

DealStation is FREE for the partners. It is the company that needs to select one of our paid subscription packages before they can connect with you, the Partner, and have investors invited to their investment opportunity. Partners desiring more tailored solutions can request a quote with us.
